1. Introduction & Acceptance

These Terms of Service ("Terms") form a legally binding agreement between you and TheraScripts, a company registered in England & Wales (company number 16196583), with its registered address at 167-169 Great Portland Street, London, England, W1W 5PF ("we", "us", "the Company").

TheraScript is a web-based platform that helps therapists and coaches build personalised therapeutic session scripts using AI-assisted generation. These Terms govern your access to and use of the TheraScript platform, including all related features, tools, and services.

By creating an account on TheraScript, you confirm that:

  • You have read, understood, and agree to be bound by these Terms.
  • You are at least 18 years of age.
  • You are a qualified practitioner, or currently in professional training, in a relevant therapeutic or coaching discipline.

If you do not agree with any part of these Terms, you must not use the platform.

2. Definitions

Throughout these Terms, the following words have specific meanings:

  • Account — Your registered user account on the TheraScript platform, authenticated through our identity provider.
  • Audio Files — MP3 files generated by the platform's text-to-speech technology from your script content.
  • Client — An individual who receives therapeutic or coaching services from you, the practitioner.
  • Client Data — Any information about your clients that you enter into the platform, including survey responses, session preferences, and profile details.
  • Content — All text, data, files, and other materials you upload to or create within the platform.
  • Generated Content — Script text, audio files, and other outputs produced by the platform's AI generation tools based on your inputs and configurations.
  • Platform — The TheraScript web application, including all features, APIs, and related services operated by TheraScripts at therascript.com.
  • Practitioner — You, the professional therapist, coach, or trainee who holds an account on TheraScript.
  • Subscription — Your chosen billing plan (Free, Pro, or Studio) that determines your access level and feature entitlements.
  • Top-Up Pack — A one-time credit purchase that adds to your monthly generation or audio allowances within your current billing period.

3. Account Registration & Security

Registration

To use TheraScript, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Keep your account details up to date.
  • Maintain the confidentiality of your login credentials.

One Account Per Person

Each account is for a single individual practitioner. You must not share your account credentials with others or allow others to access the platform through your account.

Your Responsibility

You are responsible for all activity that occurs under your account, whether or not you authorised it. If you become aware of any unauthorised use, you must notify us immediately via our contact form (select "Account Security").

Suspension

We reserve the right to suspend or restrict access to any account that we reasonably believe is in violation of these Terms, subject to providing you with notice and an opportunity to respond where practicable.

4. Subscription & Billing

Plans

TheraScript offers the following subscription tiers:

  • Free — Limited access to platform features, with restrictions on generation volume (up to 2 scripts per month), client capacity, and no audio generation.
  • Pro (monthly or yearly billing) — Full access to script generation, exports, audio generation, and additional features, with defined monthly allowances.
  • Studio (monthly or yearly billing) — Higher generation and audio allowances, commercial audio licensing eligibility, priority support, and advanced features for established practices.

Top-Up Packs

In addition to subscription allowances, you may purchase one-time top-up credit packs to add extra script generations or audio minutes to your current billing period. Top-up credits expire at the end of the billing period in which they are purchased and do not roll over.

Billing

All subscription payments are processed through our payment processor, Polar. By subscribing to a paid plan, you agree to Polar's terms of service in addition to these Terms.

Auto-Renewal

Paid subscriptions renew automatically at the end of each billing period (monthly or yearly) unless you cancel before the renewal date. We will charge the payment method on file at the then-current subscription rate.

Failed Payments

If a payment fails, we will notify you and attempt to charge your payment method again over a period of up to 14 days. If payment remains unsuccessful after this grace period, your account will be downgraded to the Free tier. You will not lose your existing data, but access to paid features will be restricted until payment is resolved.

Price Changes

We may change subscription prices with at least 30 days written notice. Price changes take effect at the start of your next billing period after the notice period. If you do not agree with a price change, you may cancel your subscription before it takes effect.

Taxes

All prices are exclusive of applicable taxes (including VAT). You are responsible for any taxes that apply to your subscription based on your location.

5. Acceptable Use

Permitted Use

TheraScript is designed for legitimate therapeutic and coaching purposes. You must use the platform only in connection with your professional practice.

Prohibited Conduct

You must not:

  • Use the platform for unlicensed medical practice or to provide services outside the scope of your professional qualifications.
  • Generate content that is intentionally harmful, abusive, discriminatory, or designed to cause psychological distress.
  • Attempt to reverse-engineer, decompile, or extract the underlying AI models, algorithms, or training data.
  • Resell, white-label, or redistribute the platform or its outputs as your own SaaS product or competing service.
  • Use automated tools, bots, or scrapers to access the platform or extract data in bulk.
  • Circumvent any access controls, rate limits, or security measures.
  • Use the platform in any way that violates applicable laws, regulations, or professional codes of conduct.

Your Review Obligation

You are responsible for reviewing all AI-generated content before using it with your clients. The platform is a tool to assist your professional practice — it does not replace your clinical judgement or professional responsibility.

6. AI-Generated Content

How It Works

TheraScript uses artificial intelligence and large language model (LLM) technology to generate therapeutic session scripts based on your inputs, configurations, and the platform's content library.

Not Clinical Advice

AI-generated output is a professional tool to support your practice. It does not constitute clinical advice, medical treatment, diagnosis, or a professional recommendation. The AI does not have a therapeutic relationship with your clients.

Your Responsibility

As a qualified practitioner, you bear full responsibility for:

  • Reviewing all generated content for clinical appropriateness before use.
  • Approving or modifying scripts to suit your client's specific needs.
  • Delivering content to your clients in a manner consistent with your professional standards and duty of care.

No Guarantee of Outcomes

We do not guarantee the clinical efficacy, therapeutic effectiveness, or suitability of any generated content for any particular client or condition. You must exercise your own professional judgement at all times.

7. Intellectual Property & Copyright

Platform Ownership

The TheraScript platform — including its user interface, design, module library, algorithms, AI prompts, and underlying technology — is owned by TheraScripts. All rights are reserved.

Generated Script Text

  • Pro and Studio subscribers: You are granted ownership of the script text generated through your use of the platform. You may use, modify, and distribute your generated scripts as part of your professional practice.
  • Free tier users: Generated script text is licensed to you under a limited, non-exclusive, non-transferable, revocable licence for your personal professional use only. You do not acquire ownership of Free tier scripts. This licence does not permit commercial redistribution and ends if your account is closed or terminated.

Audio Files

Audio files (MP3s) generated by the platform are licensed to you, not owned by you. The terms of this licence are set out in Section 8 and in the separate Audio Licence Agreement.

Client Data

Client data that you enter into the platform remains your property. You are the data controller for your client data, as described in Section 9.

Our Processing Licence

By using the platform, you grant us a limited, non-exclusive licence to process your Content and Client Data solely for the purpose of providing, maintaining, and improving the TheraScript service. This licence terminates when you delete your data or your account is closed.

8. Audio Files & Licensing

Audio Generation

TheraScript generates audio files using text-to-speech technology. Audio files are produced from your generated script text and delivered as MP3 downloads.

Personal Client Use (Pro Plans)

Pro subscribers may share generated audio files with the specific client for whom the audio was created. This is included in your Pro subscription at no additional cost.

Commercial Use

Commercial use of audio files — including use in workshops, group programmes, products for sale, or any distribution beyond the individual client — requires a commercial audio licence. Commercial licences are available as a per-audio add-on purchase or are included with Studio plans.

Restrictions

You must not:

  • Redistribute audio files publicly or make them available for general download.
  • Upload audio files to music streaming platforms, podcast directories, or similar distribution services.
  • Claim the synthesised voice as your own voice or your organisation's proprietary asset.
  • Remove, alter, or obscure any watermarks applied to Free tier audio files.

The complete terms governing audio file usage are set out in the separate Audio Licence Agreement, which forms part of these Terms.

9. Data Protection & Privacy

Roles and Responsibilities

Under UK data protection law:

  • You (the practitioner) are the data controller for your Client Data. You determine the purposes and means of processing your clients' personal data.
  • We (TheraScripts) act as a data processor, processing Client Data on your behalf and according to your instructions in order to provide the service.

Your Obligations as Controller

You must:

  • Have a lawful basis for processing your clients' personal data.
  • Obtain appropriate consent from your clients before entering their data into TheraScript.
  • Comply with your own obligations under UK GDPR, the Data Protection Act 2018, and any other applicable data protection laws.
  • Inform your clients about how their data will be processed, including the use of AI and third-party sub-processors.

Our Commitments as Processor

Our processing of Client Data is governed by our Data Processing Agreement (DPA), which forms part of these Terms. The DPA sets out our obligations regarding data security, sub-processor management, breach notification, and data deletion.

We comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. For full details on how we collect, use, and protect personal data, please refer to our Privacy Policy.

Sub-processors

We use third-party sub-processors to deliver the service, including providers for database hosting, authentication, AI generation, text-to-speech, billing, and web hosting. A current list of sub-processors is maintained as part of our DPA documentation.

10. Refunds & Cancellation

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until your billing period ends.

No Partial Refunds

We do not provide partial refunds for unused time within a billing period.

Cooling-Off Period

Although TheraScript is a business-to-business product, we offer a 14-day cooling-off period for new subscriptions, in line with the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

By subscribing, you expressly request that we begin providing the service immediately. As permitted under Regulation 36 of those Regulations, if you cancel within 14 days of your first paid subscription, your refund will be reduced by:

  1. A £10 non-refundable administration and processing fee; and
  2. The proportionate value of any script-generation tokens you have used during the 14-day period, calculated at the per-token rate current at the time of cancellation.

If the total deductions equal or exceed the amount you paid, no refund will be due. Full details and a worked example are set out in our Refund & Cancellation Policy.

Refund Requests

To request a refund, use our contact form (select "Billing & Refunds"), including your account email and the reason for your request. We aim to process refund requests within 10 business days.

11. Service Availability & Modifications

Availability

We aim to provide a reliable, highly available service. However, we do not guarantee 100% uptime. The platform may be temporarily unavailable due to scheduled maintenance, infrastructure issues, or circumstances beyond our reasonable control.

Modifications

We may modify, update, or remove platform features from time to time. Where changes are minor or beneficial, we may implement them without advance notice. For material changes that significantly affect your use of the platform, we will provide reasonable notice via email.

Discontinuation

If we decide to discontinue the TheraScript service entirely, we will provide at least 90 days written notice and make reasonable efforts to help you export your data before the service ends.

12. Limitation of Liability

Clinical Outcomes

We are not liable for any clinical, therapeutic, or health-related outcomes resulting from the use of content generated through the platform. You, as the practitioner, are solely responsible for the content you deliver to your clients.

Liability Cap

To the maximum extent permitted by law, our total aggregate liability to you for any claims arising from or related to these Terms or your use of the platform is limited to the total amount you paid to us in the 12 months immediately preceding the event giving rise to the claim.

Excluded Damages

We are not liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of business, loss of data, or loss of reputation, even if we have been advised of the possibility of such damages.

Exceptions

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence.
  • Fraud or fraudulent misrepresentation.
  • Any other liability that cannot be excluded or limited under applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless TheraScripts, its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your use of generated content with your clients, including any claims of harm, negligence, or professional misconduct.
  • Your breach of these Terms.
  • Your violation of any applicable law, regulation, or professional code of conduct.

This indemnity survives termination of your account and these Terms.

14. Termination

Termination by Either Party

Either party may terminate these Terms by giving 30 days written notice to the other party.

Immediate Termination

We may terminate your account immediately, without prior notice, if you commit a material breach of these Terms, including but not limited to: violating the acceptable use provisions, engaging in fraudulent activity, or failing to pay subscription fees after reasonable reminders.

Effect of Termination

On termination:

  • Your access to the platform will end.
  • Voluntary termination or termination by us without cause: You will have 30 days from the date of termination to export your data (scripts, audio files, and client data) using the platform's export tools. After the 30-day export period, we will delete your data in accordance with our data retention policies and the DPA.
  • Termination by us for material breach: We may delete your data immediately or within a timeframe we determine is appropriate, taking into account data protection obligations. We will comply with any data subject access requests regardless of the reason for termination.

Surviving Provisions

The following sections survive termination of these Terms: Intellectual Property & Copyright (Section 7), Limitation of Liability (Section 12), Indemnification (Section 13), and Governing Law & Jurisdiction (Section 17).

15. Additional Terms for US Residents

If you are located in the United States, the following additional terms apply:

Binding Arbitration

Any dispute, claim, or controversy arising from or relating to these Terms or your use of the platform shall be resolved by binding arbitration on an individual basis, administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in a location mutually agreed upon, or remotely via video conference.

Small Claims Exception

Notwithstanding the arbitration provisions above, either party may bring an individual action in small claims court for disputes within that court's jurisdictional amount (typically up to USD 10,000), provided the claim is within scope and remains on an individual basis.

Class Action Waiver

You agree to bring claims only in your individual capacity and not as a plaintiff or class member in any class, consolidated, or representative proceeding. You waive any right to participate in a class action lawsuit or class-wide arbitration against TheraScripts.

California Residents

If you are a California resident, you may have additional rights under the California Consumer Privacy Act (CCPA). Please refer to our Privacy Policy for details on how we handle personal information and how to exercise your CCPA rights.

Governing Law

While the governing law of these Terms remains that of England & Wales (see Section 17), the arbitration provisions in this section apply to US-based disputes and are governed by the Federal Arbitration Act.

16. Changes to These Terms

We may update these Terms from time to time. When we do:

  • We will provide at least 30 days notice via email to the address associated with your account.
  • We will update the "Effective Date" at the top of this document.
  • For minor or clarifying changes, your continued use of the platform after the notice period constitutes acceptance.
  • For material changes that significantly affect your rights or obligations, we will require your affirmative acceptance (for example, by clicking "I agree" when you next log in).

If you do not agree with updated Terms, you may cancel your subscription before the changes take effect.

17. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of England & Wales.

Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England & Wales, except where the arbitration clause in Section 15 applies to US-based users.

Entire Agreement

These Terms, together with the Privacy Policy, Data Processing Agreement, and Audio Licence Agreement, constitute the entire agreement between you and TheraScripts regarding your use of TheraScript. They supersede any prior agreements, representations, or understandings, whether written or oral.

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by TheraScripts to be effective.
